1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of all websites, digital tools, portals, platforms, and services offered by Sustainability Intelligence LLP (hereafter “SI LLP”, “we”, “our”, or “us”), including but not limited to www.beta.sustaintel.com, any subdomains, mobile or web applications, and externally hosted tools operated by us.
By accessing or using our Services, you agree to comply with and be legally bound by these Terms. If you do not accept these Terms, do not use or access our Services.
These Terms are intended to comply with:
- India’s Digital Personal Data Protection Act (DPDP Act, 2023)
- General Data Protection Regulation (EU GDPR)
- Equator Principles Framework (2020)
- IFC Performance Standards on Environmental and Social Sustainability
- Industry-standard data security, licensing, and intellectual property norms
2. Definitions
- “SI LLP” / “We” / “Us” / “Our” refers to Sustainability Intelligence LLP, a limited liability partnership registered in India with its office at 12th Floor, Ring Road, DP Block, Sector V, Bidhannagar, Kolkata, West Bengal – 700091.
- “User” / “You” / “Your” means any individual, institution, government agency, business entity, or authorized representative accessing the Services.
- “Services” means all digital products, applications, platforms, tools, content, datasets, and resources developed and/or maintained by SI LLP, including environmental and social screening tools, ESG dashboards, audit management systems, grievance portals, stakeholder engagement modules, and all other features under SI LLP’s digital ecosystem.
- “Platform” refers to the web-based and/or mobile system used to deliver the Services.
- “Content” includes all data, visuals, documents, dashboards, forms, metadata, source code, maps, indicators, tools, and textual elements hosted on or accessed via the Platform.
- “Client” refers to an entity or project holding a subscription, licensing agreement, or data-sharing relationship with SI LLP.
- “Authorized User” means an individual who has been granted access by a client or SI LLP through an official login account.
- “Subscriber Data” refers to information entered, uploaded, submitted, or generated by users during use of the Services.
3. Acceptance and Modification of Terms
- Your use of the Services constitutes your agreement to be bound by these Terms.
- SI LLP may update or revise these Terms at any time, at its sole discretion. The “Last Updated” date will reflect any changes.
- Continued use of the Services after changes indicates your acceptance of the revised Terms. We encourage Users to review them periodically.
4. Eligibility and User Responsibilities
4.1 Eligibility
- At least 18 years of age, or of legal age in your jurisdiction; or
- An authorized representative of an organization with appropriate institutional credentials.
4.2 Responsibilities
- Provide accurate, complete, and current information
- Maintain the confidentiality of your login credentials
- Use the Services only for lawful, permitted, and non-infringing purposes
- Immediately notify SI LLP of any unauthorized use of your account
Unauthorized use or misrepresentation may lead to suspension or termination of your account.
5. Account Creation and Access
5.1 Registration
Certain features may require registration or subscription. Upon registration, an account will be created linked to your email and credentials.
- Share credentials with unauthorized individuals
- Use another individual’s credentials
- Attempt to bypass access restrictions or platform security
5.2 Access Control
- Restrict access to certain tools based on user role, geography, subscription type, or project classification
- Monitor usage for compliance, security, and system optimization
- Suspend or terminate accounts in case of misuse or breach of terms
6. Use of Services and Data
You may use the Services to:
- Conduct environmental and social risk screenings
- Analyse ESG performance at the site or project level
- Register, manage, and resolve community or stakeholder grievances
- Access audit-ready dashboards and compliance documents
- Support data-driven sustainability decision-making
You may not:
- Use our data or Services for reselling, scraping, unauthorized redistribution, or commercialization
- Misrepresent data outputs or claim authorship without attribution
- Alter, copy, or reverse engineer software components
- Violate applicable law or mislead stakeholders using our tools
7. Data Ownership, Privacy, and Security
7.1 Ownership
- All platform data, tool architecture, and derived products are the intellectual property of Sustainability Intelligence LLP, unless otherwise licensed or attributed.
- Uploaded or generated data by users remains the property of the submitting entity, but by uploading it, you grant SI LLP a non-exclusive, royalty-free, worldwide license to process and use it for technical and analytical improvement.
7.2 Privacy
- Personal and project data are handled per our Privacy Policy, in accordance with GDPR, DPDP Act, and IFC’s Data Handling Principles.
- We never sell your data. Access is limited to authorized staff, developers, or partners under strict confidentiality agreements.
7.3 Data Security
- All reasonable efforts are made to safeguard your information using encryption, secure APIs, role-based access, and third-party compliance-certified hosting.
- However, no digital system is entirely secure. Users assume risk for data shared or stored on the platform.
8. Intellectual Property Rights
- All content, trademarks, logos, software, documentation, source code, and visuals are the intellectual property of SI LLP or its licensors.
- Users are granted a limited, non-transferable, revocable license to use the Services as per subscription or project agreement.
- No license is granted to reproduce, distribute, or create derivative works without written consent.
9. Subscription Terms and Fees (If Applicable)
- Subscription fees, access durations, renewal terms, and termination clauses are governed by individual service agreements, licensing arrangements, or enterprise contracts.
- All payments are non-refundable unless stated otherwise.
- SI LLP may change pricing or product scope with reasonable prior notice.
10. Third-Party Integrations and Attribution
- SI LLP may utilize or integrate open-access or third-party tools, APIs, and datasets (e.g., Mapbox, OpenStreetMap, IUCN data, Sentinel data).
- Users are bound by the terms of use of these third-party providers where applicable.
- All data must be attributed appropriately when reused or published externally.
11. Reporting, Feedback, and Improvements
- Users are encouraged to report bugs, errors, or data discrepancies to contact@sustaintel.com
- By submitting feedback or suggestions, you grant us the right to use it for improving the platform without compensation or credit.
12. Limitation of Liability
To the maximum extent permitted by law:
- SI LLP is not liable for any indirect, incidental, or consequential damages, including data loss, business interruption, reputational harm, or legal disputes arising from the use or inability to use the Services.
- Users are solely responsible for interpreting outputs and applying them to real-world decisions or disclosures.
- We do not guarantee the accuracy, completeness, or applicability of data for regulatory or certification purposes.
13. Indemnification
You agree to indemnify and hold harmless SI LLP, its officers, employees, affiliates, and subcontractors from any claims, losses, damages, liabilities, legal costs, or expenses arising out of:
- Your violation of these Terms
- Your misuse of the Services
- Any third-party claims resulting from content you upload or actions you take through our platform
14. Termination and Suspension
We may, at our sole discretion, suspend or permanently disable your access to the Services for any of the following reasons:
- Breach of Terms
- Legal violations
- Non-payment (where subscription is applicable)
- Risk to system integrity, other users, or ongoing projects
Upon termination, you must cease all use of the Services and destroy any downloaded material if instructed.
15. Dispute Resolution and Governing Law
These Terms shall be governed by the laws of Republic of India, with jurisdiction vested in courts located in Kolkata, West Bengal.
In cases involving international financial institutions or Equator-aligned projects, disputes may be resolved through UNCITRAL Arbitration or as defined under the respective project agreements.
16. Disclaimer on Representations and Geopolitical Boundaries
Any maps, spatial layers, or geopolitical representations on the platform are for analytical use only and do not constitute legal endorsement of national borders, jurisdictions, or territories.
SI LLP does not engage in political representations or boundary disputes.
17. Service Availability
We strive to ensure 99% uptime and platform availability but reserve the right to suspend services temporarily for maintenance, upgrades, or force majeure events. SI LLP will not be liable for delays or interruptions beyond our reasonable control.
18. Entire Agreement and Severability
These Terms constitute the entire agreement between You and SI LLP. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
